AI Governance Glossary

What is Shadow AI?

The unsanctioned or unmonitored use of Artificial Intelligence tools, applications, or models by employees within an organization, outside the purview of the IT and compliance departments.

The Corporate Definition

Similar to "Shadow IT," Shadow AI occurs when employees bypass official procurement and security channels to use third-party Generative AI tools (like ChatGPT, Claude, or unauthorized browser extensions) to complete their work faster.

How Shadow AI Happens

Shadow AI typically arises not from malicious intent, but from friction. When corporate policies are too restrictive or IT approval processes are too slow, employees will independently seek out AI tools to increase their productivity. Examples include:

  • A developer pasting proprietary source code into a public LLM to find a bug.
  • A financial analyst uploading confidential Q3 earnings data to an unauthorized AI summarization tool.
  • A marketing team using an unvetted AI image generator that lacks commercial copyright indemnification.

Why It Matters for Enterprise Risk

Shadow AI creates massive, unquantifiable liabilities for an enterprise:

  • Data Breaches: Public AI models often use user inputs as training data. Uploading confidential information means it could be regurgitated to competitors.
  • Regulatory Violations: Using unvetted AI tools can instantly violate GDPR, HIPAA, or the EU AI Act, leading to severe financial penalties.
  • Loss of Intellectual Property: Trade secrets fed into public models lose their legal protection.
